1. buy<\/h3>

By placing an order with Process\u00f6verskott AB, the buyer confirms that these terms and conditions have been read, understood and accepted in full. The terms and conditions apply to all purchases, unless otherwise agreed in writing between the parties. <\/p>

All used equipment sold by Process\u00f6verskott AB is transferred in its existing condition and where it is (“as is, where is”), unless otherwise expressly stated in the offer or agreement. The buyer understands and accepts that no warranty or right to compensation is given for used equipment, regardless of whether any defects or deficiencies are visible or hidden. <\/p>

Process\u00f6verskott AB provides, upon request, available documentation and images of the product in its existing condition at the time of sale. Such material is provided for information purposes only and does not constitute any warranty or representation regarding the condition or function of the product. The responsibility for assessing the condition, function and fitness for purpose of the product rests solely with the purchaser. <\/p>

The buyer is given the opportunity to inspect the equipment before purchase and is responsible for ensuring that such inspection is carried out. By completing the purchase, the buyer confirms that the obligation to inspect has been fulfilled and that the purchase is made with knowledge of the condition of the goods. The buyer is not entitled to subsequently claim defects in the goods under the Sale of Goods Act (1990:931), Sections 17-21, to the extent that nothing else follows from mandatory law.

Process\u00f6verskott AB reserves the right for intermediate sales and that objects may be sold or no longer available at the time of ordering.<\/p>

Newly manufactured equipment is covered by a one (1) year factory warranty from the date of purchase, in accordance with the applicable warranty terms of the respective manufacturer.<\/p>

2. prices<\/h3>

All prices in quotations from Process\u00f6verskott AB are stated exclusive of value added tax (VAT), unless otherwise expressly stated.<\/p>

After the order has been confirmed, the prices are fixed, with the exception of such cost changes that are beyond Process\u00f6verskott AB’s control, such as changes in exchange rates or other external factors that affect the price picture.<\/p>

3. shipping & packaging<\/h3>

Shipping costs are not included in the prices listed on the website. The cost of shipping will be added and specified in connection with the quote or order confirmation, unless otherwise agreed. <\/p>

Costs for packaging will be added if this entails a significant additional cost. All such costs will be charged to the buyer and will appear on the invoice in connection with delivery, unless otherwise agreed. <\/p>

4. terms of payment<\/h3>

Unless otherwise agreed in writing, payment terms are set out in the respective offer or order confirmation.<\/p>

In the event of late payment, Process\u00f6verskott AB is entitled to charge penalty interest in accordance with the Interest Act (1975:635) and compensation for any reminder and collection costs.<\/p>

5 Deliveries – Transportation<\/h3>

Process\u00f6verskott AB strives to deliver products in accordance with the agreed or desired delivery time, to the extent possible. Delivery times are preliminary and can be affected by external factors, such as the carrier’s planning and availability. Delivery times are therefore finalized only at the time of order confirmation, but the exact delivery date cannot be guaranteed. <\/p>

Deliveries are generally made by car and\/or boat, unless otherwise specifically agreed. Freight costs will be added, unless otherwise expressly stated. <\/p>

If freight is included in the agreed price, this includes one (1) hour of loading and unloading. Any time beyond that will be charged separately. <\/p>

Delivery delays may occur as a result of circumstances beyond Process\u00f6verskott AB’s control, such as delays at suppliers or disruptions in the transportation chain. In the event of such delays, Process\u00f6verskott AB shall not be liable for any damages or costs incurred as a result of the delay, including indirect damages such as loss of production or loss of profit. The buyer shall be notified as soon as such delay becomes known. <\/p>

6. inspection<\/h3>

The buyer shall check the delivery without delay upon receipt. If the goods are faulty or damaged in transit, this must be noted immediately on the shipping document or equivalent, and, if possible, confirmed by the driver before the receipt. <\/p>

Claims for transport damage should be addressed to the carrier, who is responsible for the transport.<\/p>

Used equipment may show damage, dents or wear that does not necessarily affect its functionality. However, it is important that any visible damage is documented upon receipt. <\/p>

Process\u00f6verskott AB recommends that the buyer, whenever possible, performs a visual inspection of the equipment before delivery or collection. It is the buyer’s responsibility to ensure that such an inspection is carried out prior to purchase. <\/p>

7. force majeure<\/h3>

Process\u00f6verskott AB is exempt from liability for failure to fulfill its obligations under this agreement to the extent that the fulfillment is prevented, impeded or delayed as a result of circumstances beyond Process\u00f6verskott AB’s reasonable control, and which could not reasonably be foreseen or avoided.Such circumstances may include, but are not limited to:<\/p>

– War, terrorism, sabotage or civil unrest – Natural disasters such as earthquakes, floods or extreme weather conditions – Pandemics, epidemics or other outbreaks of infectious diseases – Fire, explosion or major accidents – Government decisions, embargoes, sanctions or other official measures – Strike, lockout, blockade or other labor market conflicts (even if Process\u00f6verskott AB is a party to the conflict) – Serious disruptions in the supply of transport, electricity or communications – Inability of suppliers or subcontractors to deliver as a result of the above circumstances<\/p>

In the event of a Force Majeure situation, Process\u00f6verskott AB shall inform the buyer without delay and state the expected impact on delivery or fulfillment of the agreement. In such a case, delivery times shall be extended by the time that the obstacle remains, without the right to damages or other compensation for the buyer.If the Force Majeure situation lasts for more than three (3) months, each party has the right to withdraw from the agreement in whole or in part without any obligation to pay compensation. However, deliveries or performances already made shall be paid for in accordance with the contract. <\/p>

8. limitation of liability<\/h3>

For used equipment, no warranty is given regarding function, usability or future reliability. The seller is not liable for indirect damages, such as loss of production, loss of profit or other consequential economic loss. <\/p>

Process\u00f6verskott AB’s potential liability for compensation is in all circumstances limited to an amount corresponding to what the buyer paid for the product in question. This applies regardless of the nature or extent of the damage and regardless of any ancillary costs, losses or consequences. <\/p>

The seller is not liable for defects or damage discovered after delivery, insofar as these are covered by the sale of the goods in their existing condition.<\/p>

The buyer is responsible for ensuring that the delivered equipment is installed, handled and used in accordance with applicable laws, regulations and required permits. Process\u00f6verskott AB is not responsible for any requirements for permits, certifications or other governmental approvals that may be required for installation, operation or use of the product. <\/p>

The limitations of liability set out above apply to the extent not otherwise provided by mandatory law.<\/p>

9. duty to investigate<\/h3>

Process\u00f6verskott AB provides, to the extent known, information about the condition of the equipment and available documentation in good faith. Process\u00f6verskott AB is not responsible for information about defects or deficiencies that were not known or that could not reasonably have been discovered at the time of sale. <\/p>

The buyer is responsible for examining the equipment before purchase and ensuring that it meets the buyer’s needs and expectations.<\/p>

By completing the purchase, the buyer confirms that the obligation to examine has been fulfilled or that the buyer has waived such examination.<\/p>

10. peripheral costs<\/h3>

Peripheral costs such as cranes, special transportation, unloading equipment, extra working hours for loading and unloading or other handling in addition to the standard delivery shall be paid for and provided by the buyer, unless otherwise agreed.<\/p>

Process\u00f6verskott AB is not responsible for such costs or for any consequences arising in connection with these services, including any delays, damages or additional costs.<\/p>

11 Applicable law and dispute<\/h3>

These terms and conditions shall be interpreted and applied in accordance with Swedish law.<\/p>

Disputes arising from these terms and conditions or related legal relationships shall be settled by a general court of law with \u00c5ngermanland District Court as the first instance.<\/p>

12. reservation of title<\/h3>

The goods remain the property of Process\u00f6verskott AB until full payment has been made.<\/p>

13. validity<\/h3>

The invalidity or unenforceability of any provision of these terms and conditions shall not affect the validity of the remaining provisions.<\/p>

14. scope of the agreement<\/h3>
